These Terms of Service ("Terms") govern your use of kyne.agency (the "Site") and any services provided by Kyne ("Kyne", "we", "us", or "our"). By using the Site, submitting an enquiry, or engaging us for services, you agree to these Terms. If you don't agree, please don't use the Site or our services.
1. Our services
Kyne provides Shopify Plus development, enterprise WooCommerce development, SEO/GEO/AEO, performance marketing, PR services, influencer marketing, branding and packaging design, WordPress B2B development, and agentic AI development. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate written proposal or statement of work agreed with the client before work begins, which forms part of the contract between us alongside these Terms.
2. Use of the Site
You may browse the Site and use the contact and audit-request forms for legitimate business enquiries. You agree not to misuse the Site, attempt to gain unauthorised access to our systems, scrape or copy content for commercial redistribution, or use the Site in any way that could damage, disable, or impair it.
3. Engagements and payment
- Project-based engagements are quoted as fixed-price proposals following a discovery or scoping call, and typically require a deposit before work begins with the balance invoiced on agreed milestones or delivery.
- Ongoing retainers (SEO, performance marketing, PR, and support retainers) are billed monthly in advance and generally carry a minimum initial term, as specified in your proposal.
- Invoices are due within the payment terms stated on the invoice. Late payment may result in paused work until the account is brought current.
- All fees are exclusive of applicable taxes unless stated otherwise.
4. Intellectual property
Unless otherwise agreed in writing, ownership of final deliverables (code, designs, brand assets, and content) transfers to the client upon full payment. Kyne retains the right to showcase completed work in our portfolio and case studies unless the client requests confidentiality in writing. Kyne retains ownership of any pre-existing tools, frameworks, or proprietary methodologies used to deliver the work.
5. Client responsibilities
Timely delivery depends on the client providing necessary access, content, feedback, and approvals within agreed timeframes. Delays in client-side input may affect project timelines and are not attributable to Kyne.
6. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement, and to use it only for the purposes of the engagement.
7. Limitation of liability
To the maximum extent permitted by law, Kyne's total liability arising from any engagement is limited to the fees paid by the client for the specific service giving rise to the claim in the preceding three months. We are not liable for indirect, incidental, or consequential damages, including loss of revenue, profits, or data, except where such limitation is not permitted by law.
8. Termination
Either party may terminate an ongoing retainer with written notice as specified in the applicable proposal (typically 30 days). For project-based work, termination terms are set out in the relevant statement of work. Fees for work completed up to the termination date remain payable.
9. Governing law
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, India, unless otherwise agreed in a specific client contract.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
